Can any director's signature bind the company?
Before signing, check the signing conditions in the company's registration records, including who must sign, whether joint signatures are required and whether a company seal is needed. Being a director, holding an operational position and having authority to sign a particular document for the company are distinct matters.
What if an employee or agent signs for the other party?
Examine the authorisation document, the authority of the person granting it, its subject matter and duration, and any internal corporate approval required for the transaction. A power of attorney does not remove the need to check the chain of authority. Equally, a document should not automatically be considered invalid merely because the signatory is not a director.
