A Thai company stops trading: planning dissolution and liquidation

Ceasing operations, registering dissolution and registering completion of liquidation are separate stages. A dissolved company continues to exist for liquidation purposes, with a liquidator dealing with assets, liabilities and subsequent procedures. Review registration status, accounting and tax, employees and unperformed contracts before planning the exit. Stopping new orders or closing the office does not establish that closure is complete.

Does ceasing business mean the company has been closed?

What should be organised after shareholders decide to exit?

List assets, receivables and liabilities, contracts, licences, employees, bank accounts and existing disputes, and identify the people responsible for liquidation and handover. Meetings, notices, registration and tax steps should reflect the company's circumstances rather than another company's checklist.

What if accounting records are incomplete or debts remain?

Establish the document gaps and payment position before determining the applicable procedure. THAIHOUSING can coordinate corporate legal matters, accounting and tax and liquidation. Insolvency or disputes require separate procedural assessment; ordinary company closure should not be treated as a way to avoid debts.
