Matter type: Major commercial dispute | Corporate control and shareholding dispute | Parallel criminal and civil proceedings | Major asset recovery.
1. Background and Discovery
The client previously worked with Ben Smith on project development in Thailand and invested approximately THB 700 million in total. Under the cooperation arrangements, the client appointed directors to the participating companies and held shares to participate in corporate governance and protect its investment interests.
According to THAIHOUSING's investigation and case materials, Ben Smith subsequently used concealment and deception to make changes without the client's authorisation or consent: the client's appointed directors were replaced by persons he controlled or arranged, and the client's shares were transferred into the names of persons or entities he controlled or arranged. These changes were not truthfully disclosed to the client for years.
Years later, following public exposure of matters involving Ben Smith, the client revisited the investment and instructed THAIHOUSING to investigate. Only then did the client discover the changes affecting its board representation, shareholding rights and control of the project companies.
2. Reconstructing Corporate Records, Payments and Control
The long history of the matter connected investment arrangements, company registration and actual control. THAIHOUSING reconstructed the investment and corporate-control timeline, examining how the unauthorised changes occurred and their connection with the client's losses.
- Reviewed historical company-registration records and successive director and shareholder changes, comparing original materials with later records.
- Organised investment agreements, payment evidence and transaction materials relating to the approximately THB 700 million investment.
- Examined change documents, authorisation and actual control relationships among the relevant persons and entities.
- Cross-checked registration, payments, authority and personal relationships to identify priorities for further evidence gathering and recovery.
3. A Key Associated Person as the Investigative Breakthrough
After examining the corporate and transaction relationships, THAIHOUSING identified one key associated person who had long carried out matters for Ben Smith and held extensive internal knowledge. That person's knowledge of corporate control, historical changes and the practical execution of relevant affairs provided a focus for further investigation.
THAIHOUSING pursued parallel criminal and civil legal action concerning that key associated person and other relevant persons, overcoming obstacles in the evidence and information chain and further reconstructing the facts. Progress in legal action and investigation created substantive negotiating pressure and helped bring about the subsequent private settlement and repayment. This public account does not disclose the key person's name or other identifying details.
4. Coordinating Criminal Action, Civil Claims and Negotiations
THAIHOUSING pursued criminal legal action concerning unauthorised changes to directors and shareholdings, the related deception and investment losses. In parallel, civil legal action sought to protect the client's rights and recover funds. As the evidence and information became clearer, the firm continued negotiations and settlement work to translate progress in the dispute into actual repayment.
The approach was: historical investigation → verification of directors, shareholdings and control → identification of the key associated person → parallel criminal and civil legal action → progress in the evidence and information chain → negotiated settlement → actual repayment and follow-up on instalments.
5. Private Settlement and Amount Actually Received
The investigation, legal action and negotiations ultimately led to a private settlement providing for repayment of approximately THB 700 million of the client's investment.
- Actually received: THB 350 million.
- Still to be performed: the remaining THB 350 million is to be repaid in instalments within one year.
- Current work: continued follow-up on performance and receipt of the remaining instalments.
The agreed repayment arrangement, money already received and future payment obligations are distinct facts. Actual receipts currently total THB 350 million. The approximately THB 700 million settlement amount must not be presented as fully recovered, and the private settlement must not be described as a final court judgment.
6. Significance
This matter illustrates the coordination of historical corporate investigation, shareholding and control analysis, criminal and civil proceedings, and recovery negotiations in a major cross-border commercial dispute. The work involved both reconstructing events from years earlier and identifying an associated person with important knowledge and an actual role in the affairs. Legal action supported evidence gathering, dispute resolution and recovery, while continued follow-up on the outstanding instalments remains an important part of the matter.
7. Public Proceedings and Publication Note
Thai PBS reported on 2 March 2026 that Thailand's Criminal Court had issued an arrest warrant for Ben Smith on 26 February 2026 in connection with alleged fraud and money laundering.
