The key change
Thailand’s Department of Business Development (DBD) has announced that, from 1 November 2026, all registration application types for partnerships and limited companies will be handled exclusively online through DBD Biz Regist. Investors establishing a company and businesses making changes to an existing company should check their records, signing authority and identity-verification arrangements ahead of their application.[Official source]
This is a change to the filing channel. Supporting documents still depend on the application, and registration does not replace a separate assessment of business licensing requirements.
1. Which registrations are affected?
The announcement specifically concerns partnerships and limited companies. It should not be read as moving every legal entity, permit or government filing into the same system.
There are two stages:
- 1 July 2026: New partnership and limited-company incorporations moved exclusively to DBD Biz Regist, with the corresponding paper walk-in applications discontinued.[Official source]
- 1 November 2026: All registration application types for those entities move to the online channel, including amendments and changes to existing entities.[Official source]
Existing companies should therefore prepare too. Check the filing category and the DBD guidance in force when the application is made.
2. What can businesses prepare now?
The following are practical preparation suggestions, rather than a universal document checklist prescribed by the announcement.
Define the filing. Identify whether the matter is incorporation or a change to an existing company. Record the proposed changes and intended completion date; a general instruction to “update the company documents” can leave related matters unresolved.
Check the company information. Compare the existing registered details with the proposed filing. Confirm consistency in the company name, address, directors and other relevant information, and ensure the proposed changes reflect the actual arrangements.
Review signing authority. Establish who may sign, whether joint signatures are required, and how company resolutions and any representative’s authority should be documented. Requirements depend on the filing and company documents. Access to an account does not itself give someone authority to make a company decision. See our guide to Thai company signing authority.
Check identity verification and system access. DBD describes electronic identity identification and verification, with official guides and videos available. Where foreign directors, signatories or representatives are involved, check the current guidance and individual circumstances; do not assume everyone follows the same verification process.
Coordinate the timetable. Where registration relates to contract signing, banking arrangements or a licence, identify the dependencies and allow time to review documents and address corrections.
3. Check business permissions separately
DBD Biz Regist handles registration applications and related online processes. Businesses should separately consider the permissions required for their actual activities.
Foreign investors should assess their ownership and proposed activities against the Foreign Business Act, FBL, FBC and relevant conditions. A company registration document alone does not establish that every proposed activity is permitted. See our Foreign Business Act, FBL and FBC guide.
4. Frequently asked questions
FAQ
Must existing companies register again on 1 November?
The announcement concerns the filing channel. It does not, by itself, establish a blanket requirement for existing companies to re-register. Particular changes or other registrations should follow their applicable rules.
Does the November change affect only new companies?
No. New incorporations moved online on 1 July; the November change covers all registration application types for partnerships and limited companies.
Does online submission mean immediate registration?
No. Online system access and completion of an application’s review are separate matters. Check the application status and relevant requirements.
Do foreign directors follow the same verification process as Thai users?
The press release does not fully specify procedures for each user category. Check current official guidance and the individual’s circumstances before assuming that attendance will be unnecessary.
5. How Thaihousing can assist
Thaihousing can help review company information, resolutions and signing authority for a proposed incorporation or change, organise authorisation arrangements, and assess how registration connects with foreign-business licensing and related steps. System verification and submission requirements remain subject to current DBD rules and the particular application.
See our Thailand company formation service. Providing the proposed filing, existing company documents and intended timetable helps identify matters that need to be resolved first.
